As we discussed in our meeting, I am writing to confirm our expectations concerning the work environment that we expect you to create at Alljoist and what actions we are taking to make certain that you appreciate the importance we attach to that. Please read this memorandum over, sign the acknowledgement that you have read it and agree to the terms, and return it to me.

I think we have made it clear that we have zero tolerance for harassing behavior of any type and that we expect you to model appropriate behavior at all times. Let me quote from the policy manual:

Boise ... is committed to providing a professional work environment for its employees that is free from physical, psychological, or verbal harassment. In keeping with this commitment, harassment of any employee by any supervisor, co-worker, vendor, client, or customer of Boise Cascade will not be tolerated. Harassment consists of unwelcome conduct that interferes unreasonably with an individual's work performance or that creates an intimidating, hostile, or offensive work environment.

As our chief management representative at Alljoist, you are held to a higher standard than the other employees there. You are an outstanding manager of results and we are confident that you will manage this as successfully as you have the business. We are also confident from your reaction at our meeting that you understand the consequences of any future harassing behavior will result in the termination of your employment.

During our meeting, you were also informed of the following actions that we were taking because of the concerns that we discussed:

• You will not receive a pay increase on April 1, 2002, the normal time when increase would occur.

• Company payment for an MBA program is being put on hold for now to enable us to focus on the more compelling issues.

• This letter must be signed by you and returned to me. I will give it to Division Human Resources where it will be kept in a confidential file.

• You will invite Division Human Resources to Alljoist to do some harassment training for your team of salaried employees and, following that, will provide training for the hourly employees.

• You will undergo an assessment evaluation by Dr. John Orr in Chicago to enable us to determine how we can best help you address the issues through a development program. You have completed the assessment to date and we are in the process of putting together that development program that you must agree to and accomplish.

Scott, we all think highly of your abilities and the results that you have achieved. This matter, unfortunately, casts a shadow over your otherwise outstanding achievements. If I weren't convinced that we will get past this quickly, I might be taking an entirely different set of actions now. I appreciate your hard work, your candor, and the attitude you have shown in response to this situation. You have taken responsibility for your actions, have not been defensive and have committed to us that there will be no further issues regarding harassing behavior. I am committed to helping you in any way that I can so please contact me if you have any questions or need clarification of anything outlined in this memo.
